SKY STORE & SHARE TERMS AND CONDITIONS OF SERVICE

Please read these terms and conditions carefully before registering for Store & Share. You should understand that by registering for Store & Share, You agree to be bound by these terms and conditions. We suggest You print a copy of these terms and conditions for future reference.

This Contract is with British Sky Broadcasting Limited, which is responsible for providing the Store & Share service to You. For Store & Share customer enquiries, please contact the Sky Store & Share team by logging into www.sky.com/storeandshare, and submitting Y our enquiry via the "Contact Us" button.

1. Definitions.

  • As used in these terms of service, the following terms and phrases shall have the following meanings:
  • "Acceptable Use Policy" means Sky's policy for acceptable use of Store & Share, as set out in Paragraph 8;
  • "Account" means the Store & Share service tier that You have subscribed to, namely the Starter, Standard or Premium Accounts, as set out in Paragraph 4.2;
  • "Account Payment" means the subscription payment we have told You that You are required to pay for accessing Your Account;
  • "Backup Manager" means the online application which automatically uploads and backs-up Your selected files;
  • "Content" means the electronic data, including but not limited to files, documents, sound recordings, audiovisual works, musical works, artwork, photographs, documents, software, electronic mail, and any other material containing such items or works, and any descriptions, titles, and other identifying or characteristics attributable to You , stored or otherwise maintained on Your behalf by Sky as part of Store & Share, or accessed or received by You pursuant to Your use of Store & Share;
  • "Contract" means these terms of service, Sky's Privacy Policy, our Acceptable Use Policy, Fair Use Policy, and all other contracts, schedules, policies, or amendments which may be in place between You and Sky governing Your use of Store & Share;
  • "Fair Use Policy" means Sky's policy setting out the parameters of storage use and limits of Your Account, as set out in Paragraph 7;
  • "Payment Service" means the electronic payment service provided by MPP that You will use to make Your Subscription Payments;
  • "Payment Service Contract" means the terms and condition for the Payment Service that You enter into with MPP;
  • "Privacy Policy" means Sky's policy setting out the parameters of Sky's use of your personal data, located at www.sky.com/privacy;
  • "Site" means the Store & Share website, located at www.sky.com/storeandshare;
  • "Sky" means British Sky Broadcasting Limited and its affiliates, as well as their respective assigns, agents and contractors, as applicable. References below to "we", "us" or "our" shall be read as references to Sky;
  • "Sky Group Companies" includes British Sky Broadcasting Limited, Sky Broadband S.A., Easynet Telecommunications Limited and Sky In-Home Service Limited;
  • "Store & Share" means the personal file backup, management and storage service provided to You or maintained on Your behalf by Sky;
  • "Subscription Payments" means the subscription payment we have told You that You are required to pay for accessing Your Account, where applicable;
  • "User" means any person, group or entity accessing Content and/or utilizing Store & Share to store, transfer, receive or otherwise access/allow access to Content;
  • "You" and similar derivations means the person, entity or other association who has entered this Contract with Sky and for whom Sky has established an Account. It shall also be interpreted to mean anybody You allow to use Your Store & Share Account and anyone that You authorise to deal with us on Your behalf.

2. First, here are some key points that You should note:

  • You must be 18 years of age or older to enter into this Contract.
  • Store & Share is for private use by You only. It must not be used for any commercial or business purpose.
  • Store & Share allows for sharing of all Content, but this does not include music files.
  • You cannot upload or share copyrighted materials (for example, copyrighted music or video files).
  • The Backup Manager is currently not compatible with Macs.
  • You must frequently login to Your Account to keep it active;
    1. Starter Account:
      • With Content - login required every 90 days;
      • Without Content - login required every 30 days.
    2. Standard and Premium Accounts - remain active so long as Your Subscription Payments are received as required. Failure to pay will result in closure of Your Account 90 days from the date Your Subscription Payment was originally due.
  • Accounts closed for any reason (including inactivity or payment failure) will have all Content removed permanently. Sky is not obliged to maintain inactive or abandoned Accounts.
  • Acceptable payment methods are direct debit or credit card mandate only.
  • Don't use Sky Store & Share illegally! Please read our Fair Use Policy and Acceptable Use Policy thoroughly.

3. Data Privacy - how information we hold about You can be used

  1. By subscribing to Store & Share You are agreeing to Sky's Privacy Policy in that the information and personal data You provide to it and information about Your Account ("Data"), may be used by Sky and Sky's Group Companies for purposes including the execution of this Contract, administration of Your Account, marketing of Sky's products and services, and market research.
  2. You also agree that the Data held by Sky and the Sky Group Companies may be shared with other third party companies located in the UK or the Republic of Ireland, including for sales, marketing and market research purposes.
  3. We shall comply with all applicable UK data protection legislation from time to time in place in respect of any Data relating to You gathered by us.
  4. If you don't want to receive marketing by email or sms, or that You don't want us to share Data with companies outside the Sky Group Companies, or if You wish to obtain access to Your Data, then please use the Feedback form on sky.com to notify us, including notification of any changes to the Data You have previously given and/or if You wish to withdraw Your consent to our using your Data for the stated purposes or for any form of promotional contact.

4. Store & Share

4.1 What is it all about?

Store & Share is the online facility to store, access, protect, and share Your Content, including:

  1. the provision of online storage space;
  2. sharing of Content via email invitation with other Users;
  3. automated protection of Content via the Backup Manager (currently available with Standard and Premium Accounts only).

4.2 What type of Accounts are available?

  1. Starter;
  2. Standard; or
  3. Premium

Full details of each Account (including online storage capacity, functionality, and any costs associated) are set out in full on the Site.

4.3 Who can take up Store & Share?

Anyone 18 years old or over. By entering into this Contract, You warrant to us that You are legally capable of entering into binding contracts, and You are at least 18 years old. You agree that You will provide such proof of Your identity as we consider reasonably necessary.

4.4 What do You need to use Store and Share?

You must ensure that You have a compatible computer system to meet the system requirements of Store & Share. For example, in the event Y ou subscribe to the Standard and Premium Accounts, You must ensure that Your computer is compatible with the system software requirements of the Backup Manager.

5. Paying for Store & Share

  1. Where You subscribe to the Starter Account, there is currently no Subscription Payment applicable. If we do decide to introduce a Subscription Payment at any time, we will give You at least one month's notice in writing and if You wish to continue with the Starter Account You will be asked to re-accept these terms and conditions (specifically these payment provisions which will become relevant to You at that time).
  2. Where You subscribe to a Standard or Premium Account, and unless otherwise agreed, You will be charged a Subscription Payment for Your chosen Account from the date Your chosen Account is first activated ("Activation Date"). We will collect Your Subscription Payments in advance each month.
  3. Acceptable Subscription Payment methods are direct debit or credit card mandate only.
  4. We may increase or decrease Your Subscription Payment at any time (including if required by law or if any regulatory authority requests or requires a change to any aspect of our pricing which affects Your Subscription Payment directly or our pricing structure generally) by giving You at least one calendar month's notice, and may alter the amount deducted from Your Payment Service account if Your Subscription Payments change for any reason.
  5. If You have missed any Subscription Payment You owe us, we can suspend or cease provision of the Store & Share services to You without giving You notice. This does not affect our right to end this Contract under Paragraph 12.
  6. Payment Services are operated by MPP Global Solutions Ltd (MPP), of Chadwick House, Birchwood Business Park, Warrington WA3 6AE, United Kingdom . MPP is the name of the company, which will appear on Your credit or debit card statement if and when You make a Subscription Payment. You can contact MPP at the above address or by emailing info@mppglobal.com.

6. Using Store & Share

  1. Store & Share is for personal, non-commercial purposes by You only.
    Sky does not guarantee the security of any Content received, stored or shared via Your Account. Security of Your Account and Content is Your sole responsibility.You are responsible for the security and proper use of Your username and password and You must not disclose either. You are also responsible for all activities that occur under Your username and password. If You know or suspect that Your username or password has been compromised, or You suspect or become aware of any other breach of security, You must tell us immediately. In these circumstances, You must also ensure that any such username or password is changed as soon as possible.
    If we believe that there has been, or is likely to be, a breach of security of Your username or password, we may require that any or all of them are changed, suspend such usernames and password and reserve the right to cancel access to Your Account immediately without notice.
  2. We may require You to reimburse us for any reasonable and foreseeable losses, costs and expenses which we incur as a direct result of the misuse of Store & Share.
    We may offer You additional services as part of Store & Share. If there are additional terms and conditions relating to these additional services, we will notify Y ou of these in advance, and unless we hear otherwise, use of Store & Share by You will be deemed acceptance of the updated terms and conditions.
  3. Sky does not warrant that Store & Share, any Content, links, hardware, software, applications, data or other material will be uninterrupted or error-free, secure or that defects will be detected or corrected; neither Sky nor its agents or contractors warrants that any service, software, Content or the methods by which they are made available will be free of viruses or similar contamination, destructive or controlling features, or otherwise in compliance with third party rights. You expressly agree to solely assume the entire risk as to the quality and performance of Your Sky Store & Share Account, Your use of such Account and the accuracy and completeness of, and compliance with applicable law and non-infringement by, any Content. You expressly agree to assume the entire cost of all necessary servicing, repair, correction and related liabilities resulting from Your use of Store & Share or others' access to the Content made available by You.
  4. You are responsible for independent backup of Content stored in Your Account. You agree to assume all risk of loss of such Content. Sky may, but shall not be required to, delete Your Content after the termination of this Contract or suspension/closure of Your Account for any reason.

7. Fair Use Policy

You will be in breach of this Fair Use Policy if, at any time, Your usage exceeds the average level of monthly usage of Store & Share Users generally. "Usage" means the total amount of bandwith a file/folder hosted and shared from Store & Share generates, as determined by Sky in its sole discretion.

8. Acceptable Use Policy

  1. Irrespective of which Account You have subscribed to, our Acceptable Use Policy ("AUP") as contained in this Paragraph 8 will apply to You and those who You allow to use Store & Share. If You have any queries about our AUP, You can contact us by emailing abuse@skystoreandshare.com.
  2. Store & Share may only be used for lawful purposes in accordance with all laws, statutes and regulations in force from time to time in the United Kingdom ("Laws").
  3. You may not use Store & Share to send, receive, store, distribute, transmit, post, upload or download any Content which in Sky's opinion:
    1. violates any Law;
    2. is defamatory, offensive, abusive, indecent, obscene, or constitutes harassment;
    3. is or may be harmful to minors;
    4. promotes or encourages illegal or socially unacceptable or irresponsible behaviour (e.g. promotes violence, or discriminatory behaviour based on race, religion, political beliefs, genders, disability, sexual orientation or other characteristics);
    5. is in breach of any third party rights (including any third party intellectual property rights);
    6. constitutes mass, unsolicited electronic mailings, chain letters or "pyramid schemes";
    7. promotes or advertises any commercial product or service;
    8. releases information You do not have the right to release;
    9. constitutes pornography or adult content;
    10. provides advice or information about illegal activities (including information about the production of illegal substances, constructing explosives, counterfeiting documents or currency etc);
    11. requires a licence to distribute, such as medical or professional advice;
    12. is false or misleading;
    13. has any fraudulent purpose or effect or involves You impersonating another person or otherwise misrepresenting Yourself as the source of any communication; or
    14. damages or may damage our name and/or reputation or the name and/or reputation of our sub-contractors or agents.
  4. You must not send, receive, store, distribute, transmit, post, upload or download any Content that are designed to violate Sky's Store & Share system security or any third party's system or network security. Examples of such prohibited material may include (but are not limited to):
    1. programs containing viruses, worms, corrupted files, hoaxes, Trojan horses or any other items of a destructive or deceptive nature;
    2. tools designed to compromise the security of other sites;
    3. programs or services designed to send or facilitate the sending of unsolicited advertisements; or
    4. programs or services designed to encourage or facilitate a breach of this AUP or any acceptable use policy of another internet services provider.
  5. You will not, and You will not assist or facilitate any third party to:
    1. copy, reproduce, transmit, frame, reverse engineer, decrypt, alter or commercially exploit Store & Share or any material or Content You download from the Store & Share service; or
    2. make any charge to Users for using any part of Store & Share.
  6. You are responsible for all Content, materials and/or data originating from the machines and/or networks that You have connected to the Sky Store & Share system. You must immediately disconnect (and subsequently secure prior to reconnection) machines generating Content, materials and/or data which contravene this AUP once notified of such activity by Sky.
  7. How do You make a complaint? If You wish to notify us of a breach of this AUP, or if You wish to make a complaint regarding Content, data or material that has been stored and/or accessed via Store & Share, please email us at abuse@skystoreandshare.com.
  8. What can we do?
    1. Firstly, You should be aware that we will block any Content and electronic communication that we reasonably consider to have breached this AUP;
    2. Secondly, if You have breached this AUP, or we reasonably suspect that You may have breached this AUP we will notify You by email (provided that this notification does not prejudice any investigation) and we may also:
      1. immediately suspend Your access to Store & Share until such time as we are satisfied the breach has stopped;
      2. remove (either temporarily or permanently), copy, store, monitor or otherwise deal with Content Your Account and/or our servers.
      3. immediately remove, or block Your or any User's access to all or any part of the Store & Share services or to any particular Content at any time for any reason;
      4. immediately end Your Contract, close Your Account and delete all Content held in Your Account;
      5. notify and/or pass on the details of the breach of the AUP to any relevant government, statutory, self-regulatory or law enforcement authority; or
      6. investigate the alleged breach of the AUP, which may include gathering information from You and/or the complaining party (if any) and the examination of any other Content on Your Account or our servers.
  9. Sky will use Your personal Data and other account information in connection with any investigation carried out by Sky in accordance with this AUP, including by disclosing it to any third party authority that Sky considers has a legitimate interest in any such investigation or its outcome.
  10. Sky strongly encourages the use by You of parental control protections (such as computer hardware, software, or filtering services) that are commercially available and may assist in limiting access to Content that may be harmful to or inappropriate for minors.

9. Your Store & Share Content

  1. By submitting or making available Content to Store & Share You warrant:
    1. it is Your own original work or You have obtained all rights, permissions, licences and consents necessary from any others whose original work is contained within Your Content to enter into this Contract;
    2. Your Content or any part of it does not infringe on the intellectual property rights (including copyright, patent, trademark, trade secret or other intellectual property or proprietary rights, rights of publicity or privacy, or moral rights) of any third party;
    3. You will take responsibility for all licensing, reporting and payment obligations to any applicable third parties regarding any Content received, accessed, stored or shared by You;
    4. it does not and will not violate any law, statute, ordinance, regulation or judicial or regulatory order; and
    5. You will in no circumstances upload or share copyrighted materials (for example, copyrighted music or video files) through Your Store & Share Account.
  2. Sky does not pre-screen or test Content and does not endorse any Content. Sky reserves the right to (but is in no way obliged to) monitor the use of Your Store & Share Account by You at any time, and in particular where we determine that there may be misuse as defined by the terms of this Contract, including but not limited to our Acceptable Use Policy.

10. License

  1. Sky grants to You a personal, non-exclusive, non-transferable license to use the products, software, services and functionality comprising Store & Share solely for Your own personal and non-commercial purposes. All rights not expressly granted by Sky to You in this Contract are retained by Sky. Except for this license, You have no right, title or interest in or to the Store & Share any product, service, software, application, technology, functionality, know-how, text, images or multimedia data comprising the Store & Share services.
  2. From time to time, Y ou may be presented with a software license in order for You to use any software constituting part of Your Store & Share Account. In this event, it is Your responsibility to read and comply with the terms of that software license, and all risk associated with use of that software resides with You.
  3. All applicable licenses as set out herein shall terminate upon termination of this Contract.

11. Account Activity

You are responsible for ensuring that Your Account remains active, as follows:

11.1 Starter Account

  1. No Content in Account (e.g. You do not currently have Content that You have up-loaded and stored within Your Account);
    1. You must log into Your Account at least once every 30 days to keep Your Account open;
    2. If You have not logged in for 25 days then You will be notified by email stating that Your Account will be closed in 5 days unless You activate Your Account by logging-in online;
    3. If Your Account has been closed due to inactivity after the 30 day period, to access Store and Share You will need to create an entirely new Account. You can create a new Account using the same username/email address as You provided for Your original Account, but You will need to go through Account creation/registration again and create it as a new Account.
  2. Content in Account (e.g. You have up-loaded and currently have Content stored within Your Account);
    1. You must log-in to Your Account every 90 days to keep the Account open, otherwise it will be closed due to inactive use;
    2. If You have not logged in for 30 days then You will be notified by email stating that the Account will be closed within 60 days unless You log-in online to the Account to keep it active;
    3. If You have not logged in for 60 days then You will be notified by email stating that the Account will be closed within 30 days unless You log-in online to the Account to keep it active;
    4. If You have not logged in for 85 days then You will be notified by email stating that the Account will be closed within 5 days unless You log-in online to the Account to keep it active; and
    5. If You have failed to log in within 90 days then Your Account will be closed and an email will be issued to You notifying You of the fact. All of Your Content will be DELETED.
      Where Your Account has been closed due to inactivity after the 90 day period, to access Store & Share services again You will need to create an entirely new Account. You can create a new Account using the same username/email address as You provided for Your original Account, but You will need to go through Account creation/registration again and create it as a new Account.

11.2 Standard and Premium Accounts

  1. Standard and Premium Accounts will remain open for so long as Your monthly Subscription Payments are received by Sky.
  2. If You fail to make a Subscription Payment for any reason then;
    1. You shall be notified by email of the Subscription Payment failure and given 90 days to reinstate payment;
    2. If Your Subscription Payment is not reinstated within 30 days of the due date, then You shall be notified by email warning that access to Your Account will be closed within 60 days if Your Subscription Payment is not successfully received;
    3. If You Subscription Payment is not reinstated within 60 days of the due date, then You shall be notified by email warning that access to Your Account will be closed within 30 days if Your Subscription Payment is not successfully received;
    4. If You Subscription Payment is not reinstated within 85 days of the due date, then You shall be notified by email warning that access to Your Account will be closed within 5 days� if Your Subscription Payment is not successfully received;
    5. If You fail to make the required Subscription Payment within 90 days of the due date then Your Account will be closed and all of Your Content will be DELETED from Your Account;
    6. If You make Your Subscription Payment after the Account has been closed, You can reactivate Your Account with the same username (i.e. email address) and password login details but all of Your previously uploaded Content will have been deleted in the Account.

11.3 Sky will use all reasonable endeavours to ensure Your Account is not closed and Content deleted prematurely. However, we are under no obligation to maintain inactive or unpaid Accounts, and shall not be held liable for any deleted Content of an Account closed in accordance with the terms set out in this Contract.

12. Termination of this Contract

  1. You can terminate this Contract immediately at any time by using the "Close my Store & Share Account" link from the "My Account" page of the Site online.
  2. We may suspend or terminate this Contract immediately upon notice to You where;
    1. You fail to make Subscription Payments that You owe to us or have provided unauthorised payment details;
    2. You breach the terms and conditions of this Contract;
    3. You, or any of Your additional Users act in a way towards our staff or agents which we reasonably consider to be inappropriate;
    4. You submit false or misleading information to Sky; or if we have reasonable grounds to suspect fraud or any other unauthorised activity.
  3. Upon termination under this Paragraph 12.2, You will no longer have the right to access Your Account, and may be denied access to a Store & Share Account in the future, in Sky's sole discretion.

  4. We may, in our sole discretion;
    1. suspend or terminate Your registration at any time. We may do this, for example, to update the Service for technical reasons;
    2. terminate this Contract with You for any reason, upon 30 days notification.
  5. We will not refund any Subscription Payments or other payments made by You under this Contract if we end this Contract because You have broken the terms and conditions.

13. Liability

  1. You are responsible for all of Your actions and omissions in relation to Your use of Store & Share.
  2. We will endeavour to provide Store & Share using all reasonable care. Except as required by law, we will not be responsible or liable for the fitness for a particular purpose of Store & Share, or for any loss or damage caused to You by:
    1. Your negligence or failure to follow our reasonable instructions, and the terms set out in this Contract;
    2. Your use of Store & Share, nor for any Content which is accessed, sent or received by You using Store & Share, unless caused by us;
    3. the act of closing Your Account or ending this Contract in accordance with the terms set out in this Contract;
    4. any delay or failure by us to provide any element of Store & Share or part of it where such delay or failure is caused by events outside our reasonable control including (but not limited to) severe weather conditions, epidemic, civil disorder, terrorist activity, war and government action;
    5. any errors, viruses or bugs contained in the Store & Share service caused by events outside of our control;
    6. Your use of Store & Share, Sky , or any of our respective officers, employees, sub-contractors or agents in circumstances where:
      1. there is no breach of a contractual obligation or legal duty of care by us or any of our respective officers, employees, sub-contractors or agents; or
      2. such loss or damage is not a reasonably foreseeable result of any such breach;
    7. any incompatibility of Store & Share with any other software or material on Your computer;
    8. any Content provided by third parties or for any product or service advertised, promoted, offered, or sold by third party service providers for use on Store & Share or otherwise; or
    9. any other factor that is outside our reasonable control.
  3. In no circumstances will Sky be liable in contract, tort (including negligence or otherwise) for any loss or corruption of data, or any loss of business, contracts, profits, anticipated savings, reputation, or revenue loss, or for any other indirect or consequential loss whatsoever.
  4. No company nor its officers, employees or agents who act as Sky's agent in providing any part of Store & Share shall be liable to You.

14. Indemnification

You agree to indemnify (and keep indemnified) Sky from and against all claims, losses, liabilities, costs and expenses, including reasonable legal fees ("Claims") which You may incur as a result of any claim or action arising from or relating to any acts or omissions by You, any Content accessed, utilised, received, stored or shared by You, use of Your username and password, any infringement of any third party intellectual property rights, any breach of a representation or warranty made by You in this Contract, or other breach of the terms of this Contract by You.

15. Copyright, Trademark and Intellectual Property

All copyright, trade marks and all other intellectual property rights in all material or content supplied as part of the Store & Share service will remain ours or, where applicable, our content partners. We hereby grant You a licence to use such rights for Your personal use of the Store & Share service only, in accordance with this Contract.

Store & Share and/or other products and services referenced in this Contract are either trademarks or registered trademarks of Sky or their applicable third party owners.

16. Promotions and Advertising

We and/or our business partners may present advertisements or promotional materials on or through Store & Share. Your participation in any promotional event is subject to the terms and conditions associated with that event. Your dealings with, or participation in promotions by, any third party advertiser on or through Store & Share are solely between You and such third party. You agree that we shall not be responsible or liable for any loss or damage of any kind incurred by You as the result of any such dealings or as the result of the presence of such third parties on Store & Share.

17. Links to Third Party sites

Store & Share may present links to third party websites not owned or operated by us. We are not responsible for the availability of these sites or their contents.

18. Changes to Store & Share

Store & Share is variable. We can change, replace or withdraw Accounts or elements of an Account at any time.

If anything we do under this Paragraph 18 results in a change to Your Subscription Payment we will confirm the change to You.

You will receive by e-mail at least one calendar month's notice of any changes or additions to this Contract which we reasonably consider You will be disadvantaged by. We will give You notice of any other changes or additions to this Contract on sky.com. We will not use this right to vary the terms of any special offer which applies to You.

19. How this Contract can be transferred and third parties

We can transfer our rights or obligations under this Contract to any company, firm or person provided this does not affect Your rights under this Contract in a negative way.

This Contract is personal to You. You may not transfer Your rights or obligations under this Contract to anyone else, and no third party is entitled to benefit under this Contract.

20. Waiver

If we fail, at any time during the term of this Contract, to insist upon strict performance of any of Your obligations under this Contract, or if we fail to exercise any of the rights or remedies to which we are entitled under this Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve You from compliance with such obligations.

A waiver by us of any default shall not constitute a waiver or any subsequent default.

No waiver by us of any terms and condition of this Contract shall be effective unless it is expressly stated to be a waiver and is communicated to You in accordance with Paragraph 18 below.

21. Severability

If any of these terms and conditions contained within this Contract are determined by an competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

22. How notices will be given

If we give You any notice that is required under this Contract, it must be in writing and may be sent by email to Your Account. If we send You any notice with any other document, the notice will be on a separate sheet of paper or in a separate attachment and will be clearly marked.

Unless otherwise stated, if You give us any notice that is required under this Contract it should be in writing, via the Contact Us web form available by logging into the Site or by emailing support@skystoreandshare.com or such other email address or number we notify to You for this purpose.

23. Law and geographical limits

This Contract is governed by English Law. Any disputes can be dealt with by any UK court that can lawfully deal with the case.
